These Payments Terms of Service ("Payments Terms") are a binding legal agreement between you and Tranquil Library Private Limited ("Tranity Payments," "we," "us," or "our") that govern the Payment Services (defined below) conducted through or in connection with the Tranity Platform (Site, Tranity app, Tranity Partner app).
Tranquil Library Private Limited, located at Shop No. 66P, Sector-7, Gohana, Haryana 131301, India, provides these Payment Services.
These Payments Terms are supplementary to the main Tranity Terms of Service ("Terms") which govern your overall use of the Tranity Platform. All capitalized terms not defined here have the meaning given to them in the Terms. Our collection and use of personal information in connection with your access to and use of the Payment Services is described in Tranity's Privacy Policy.

1. SCOPE AND USE OF PAYMENT SERVICES
1.1. Overview: Tranity Payments provides payment services, primarily through regulated third-party Payment Aggregators and Payment Gateway service providers, to Members and Partners in connection with the Tranity Platform. This includes collecting payments from Members, remitting payouts to Partners, and other related services ("Payment Services").
1.2. Third-Party Services: Payment Services may involve links to or use of third-party services (e.g., payment gateways). These are subject to their own terms and privacy policies. We are not responsible for these Third-Party Services.
1.3. Your Account: You must have a Tranity Account in good standing under the Terms to use Payment Services. You must keep your payment and personal information accurate and complete.
1.4. Identification and Verification: You authorize Tranity Payments, directly or through third parties, to make inquiries necessary to verify your identity (and that of representatives/beneficial owners if applicable). This may include:
Screening against third-party databases.
Requesting reports from service providers.
Asking for government ID, date of birth, address, GSTIN, PAN, etc.
Requiring steps to confirm ownership of email, Payment Methods, or Payout Methods.
We reserve the right to terminate, suspend, or limit access to Payment Services if we cannot obtain or verify this information.
1.5. Eligibility: You must meet the age requirements set forth in the main Terms of Service (generally 13+ for Members with parental consent if under 18, and 18+ for Partners) and be capable of entering into legally binding contracts to use the Payment Services.
2. KEY DEFINITIONS
Payout: A payment initiated by Tranity Payments to a Partner for services delivered related to a reservation, disbursed to the Partner's Payout Method according to the schedule in these Terms.
Payment Method: The financial instrument a Member uses to pay for a Reservation (e.g., credit/debit card, UPI, net banking, wallet) linked to their Tranity Account.
Payout Method: The financial instrument a Partner links to their Tranity Account to receive Payouts (e.g., bank account).
Listing Fee: The base amount set by the Partner for reserving their Space or unit (e.g., seat, desk).
Total Fees: The entire amount charged to a Member for a Reservation period, including the Listing Fee, applicable GST on the Listing Fee, Tranity's Service Fee, applicable GST on the Service Fee, and any other identified charges.
Trial Period: A limited period after the start of the first month of certain monthly reservations (as defined in the applicable Cancellation and Refund Policy chosen by the Partner) during which a Member may cancel and receive a full refund.
3. MEMBER TERMS (PAYMENTS)
3.1. Adding Payment Method: When adding a Payment Method, provide accurate billing information (name, billing address, instrument details). You authorize us, working with our third-party Payment Aggregators/Payment Gateways, to collect and store this information per our Privacy Policy.
3.2. Payment Method Verification: We may verify your Payment Method via nominal authorizations/refunds or by requesting supporting documents (e.g., bank statement).
3.3. Payment Authorization: You authorize Tranity Payments to charge your selected Payment Method(s) for all Total Fees due for Reservations made via your Account, including recurring monthly payments for multi-month reservations. You also authorize charges for any subsequent amounts due under these Payments Terms or the main Terms (e.g., Damage Amounts, modification fees).
3.4. Automatic Update of Payment Method: If your Payment Method details change (e.g., card expiry), we may acquire updated information from financial partners/your bank and update your stored Payment Method automatically.
3.5. Timing of Payment: Tranity Payments generally charges the Total Fees at the time of the reservation request. For multi-month reservations, subsequent monthly payments are typically charged before the start of each subsequent month to maintain continuous access.
3.6. Currency: Payments are processed in Indian Rupees (INR ₹). If your Payment Method is linked to a different currency, your provider may apply conversion rates and fees for which we are not responsible.
3.7. Reservation Request Status: If a reservation request is declined by the Partner, cancelled by you before acceptance, or cancelled by Tranity, any amounts collected will be refunded to you according to Section 6.6, and any payment pre-authorization will be released.
3.8. Payment Restrictions: We reserve the right to decline or limit payments we believe may violate our risk policies, these Terms, applicable laws, or pose an unacceptable risk.
3.9. Payment Service Providers: Use of Payment Methods involves processing by third-party Payment Aggregators/Payment Gateways operating under RBI regulations who might charge additional fees. Review their terms.
3.10. Your Responsibility: You are responsible for losses resulting from incorrect Payment Method information provided by you.
3.11. Recurring Payments (Where Available): For multi-month reservations where Recurring Payments are available, Member authorizes Tranity Payments to automatically collect subsequent monthly payments using the designated Payment Method. These payments will typically be processed before the start of each subsequent monthly period. To stop Recurring Payments, Member must cancel the entire remaining reservation period, subject to the Cancellation and Refund Policy.
4. PARTNER TERMS (PAYOUTS)
4.1. Payment Collection: Tranity Payments, via its integrated third-party Payment Aggregators/Payment Gateways, collects the Total Fees (on a monthly basis where applicable) from Members for their reservations.
4.2. Valid Payout Method:
To receive Payouts, link a valid Payout Method to your Listing/Account.
Provide accurate information (name, bank account details, IFSC, PAN, GSTIN (if applicable), government ID (if requested)). Providing requested information is required for a valid Payout Method.
Failure to provide accurate/complete information may result in holds, suspension, or cancellation of Payouts.
You authorize us to collect and store Payout Method information per our Privacy Policy and share it with authorities as required by law.
4.3. Timing of Payout:
Subject to successful receipt of the relevant payment from the Member, via the third-party Payment Aggregators/Payment Gateways, Tranity Payments initiates Payouts according to the schedule detailed below (Section 4.4) and communicated via the Platform.
Payout timing and frequency are subject to change and may vary based on Payout Method, bank processing times, or alternative triggers offered via the Platform.
4.4. Payout Calculation and Release Schedule: Partner Payout comprises the Listing Fee for the relevant period, minus applicable deductions (including Tranity's Service Fee + GST on Tranity's Service Fee, and TCS if applicable). Payouts are initiated as follows, subject always to successful collection of Total Fees from the Member and the reservation remaining active:
(a) New Reservations (First Month/Period) with a Trial Period: If the reservation is subject to a Trial Period under the applicable Cancellation and Refund Policy (first month of a reservation made under Flexible Cancellation Policy), Tranity Payments will initiate the Payout for this first period within 1-2 business days after the Trial Period ends, provided the Member has not cancelled during the Trial Period.
(b) New Reservations (First Month/Period) without a Trial Period: If the reservation is not subject to a Trial Period (reservation made under a Strict or Moderate Cancellation Policy, or for durations not offering a trial), Tranity Payments will initiate the Payout for this first month/period within 2-3 business days after the Member's scheduled reservation start time.
(c) Multi-Month Reservations (Subsequent Months): For subsequent months of a multi-month reservation, Tranity Payments will initiate the Payout within 2-3 business days after the start of that subsequent month's reservation period, subject to successful collection of that month's Total Fees from the Member.
4.5. Partner Cancellation: If a Partner cancels a confirmed Reservation without a Valid Reason (as defined below), the Partner will receive no Payout for the cancelled period and agrees that Tranity Payments is authorized to charge the Partner and/or deduct from future Payouts amounts covering Partner Cancellation Charges.
Partner Cancellation Charges: These charges are levied to cover Tranity's costs resulting from the cancellation (including external transaction fees like initial Payment Gateway charges and refund processing costs absorbed by Tranity on behalf of the Member) and act as a deterrent. Partner Cancellation Charges typically include amounts equivalent to:
The Tranity Service Fee (inclusive of GST) the Member originally paid for the cancelled period.
Costs related to processing the Member's full refund (inclusive of GST).
Partner Penalties: In addition to the Partner Cancellation Charges specified above, Tranity reserves the right to impose further penalties for cancellations without a Valid Reason. These non-financial consequences aim to maintain platform reliability and may include, but are not limited to:
Downgrading the Partner's listing visibility or status in search results.
Delisting the Partner's Space from the Platform.
Suspending or terminating the Partner's account, for repeated unjustified cancellations.
Valid Reasons & Exceptions: Certain circumstances beyond a Partner's control may necessitate cancellation ("Valid Reason"). These are limited to:
Documented safety emergencies affecting the Space or immediate vicinity.
Urgent, unforeseen, and mandatory repairs that make the specific reserved Unit or essential shared facilities unusable during the reservation period.
Applicable government mandates (e.g., sudden lockdown orders, evacuation orders) that legally prevent the operation of the Space or Member access during the reservation period. Partners experiencing such situations must contact Tranity support immediately and provide verifiable evidence (e.g., official reports, dated photos/videos, government notices). Tranity will review the circumstances and may, at its sole discretion, waive applicable Partner Cancellation Charges and/or Partner Penalties in such verified cases. This does not include foreseeable maintenance, personal scheduling conflicts, or minor inconveniences. Cases potentially falling under large-scale external events should also refer to the Major Disruptive Events Policy.
4.6. Payout Restrictions: We may place a hold, suspend, or cancel any Payout to prevent unlawful activity/fraud, for risk assessment, security, investigation, if we cannot verify identity/information, or due to high cancellation volumes/disputes.
4.7. Payout Currency: Payouts are remitted in Indian Rupees (INR ₹) to your designated Indian Payout Method.
4.8. Limits on Payouts: For compliance/operational reasons, we may limit Payout amounts or frequency.
4.9. Payment Service Providers: Payout Methods may involve third-party providers (your bank) who might charge fees for which we are not responsible.
4.10. Handling of Funds: We may combine and hold funds collected from Members before remittance to Partners as permitted by applicable regulations. Any interest earned on held funds is retained by Tranity Payments.
4.11. Your Responsibility: You are responsible for losses resulting from incorrect Payout Method information provided by you.
4.12. Split Payouts: If hosting as a team/organization, we may offer features to allocate Payouts among members based on instructions provided. You are responsible for the accuracy of these instructions.
5. TRANITY PAYMENTS AS LIMITED PAYMENT COLLECTION AGENT
5.1. Appointment: Each Partner appoints Tranity Payments as their limited payment collection agent solely for the purpose of accepting and processing funds from regulated third-party Payment Aggregators/Payment Gateways. These funds represent payments made by Members (Listing Fee + applicable GST) for purchasing the Partner's services via the Platform.
5.2. Effect of Payment to Tranity Payments: Payment made by a Member and successfully processed by the third-party Payment Aggregator/Payment Gateway and received by Tranity Payments is considered the same as payment made directly to the Partner for the relevant reservation period. The Partner agrees to provide the reserved Space/unit as if they received payment directly. The Partner understands our obligation to pay the Partner is conditional upon successful receipt of funds from the Member. Tranity Payments guarantees Payouts only for amounts successfully received from Members, according to these Terms.
5.3. Recourse: If Tranity Payments receives funds attributable to a Member's payment from the designated Payment Aggregator/Payment Gateway but fails to remit them to the Partner per these Terms, the Partner's recourse is solely against Tranity Payments, not the Member.
5.4. No Service to Member: Tranity Payments acts solely for the Partner in collecting payments. We do not hold funds on behalf of the Member or provide a payment service to the Member.
6. GENERAL TERMS (PAYMENTS & PAYOUTS)
6.1. Fees: Tranity Payments may charge fees for certain Payment Services (e.g., currency conversion, specific payment methods), which will be disclosed to you via the Platform before they apply. Service fees charged by Tranity (the platform operator) for use of the Platform are governed by the main Terms.
6.2. Payment Authorizations: You authorize Tranity Payments to collect amounts due under these Payments Terms or the main Terms by:
Charging the relevant Payment Method(s) linked to your Account (including for recurring monthly payments).
Withholding amounts from future Payouts (if you are a Partner).
Specifically, this includes: Total Fees for reservations, amounts due from Reservation Modifications, Resolution Center payments, Damage Report amounts (Section 7), Overstay penalties (if applicable per Partner rules), Cancellation fees, Taxes (as applicable), amounts refundable to Members after Payout (e.g., due to cancellations/disputes).
6.3. Collection of Additional Amounts: If amounts become due after the initial or recurring monthly reservation payment (e.g., modifications, Damage Reports), you authorize Tranity Payments to collect these by charging the Payment Method(s) associated with the reservation or others on file, after providing notice. If collection fails, you remain responsible, and we may pursue remedies including collection agencies.
6.4. Collections: If we cannot collect amounts owed, we may engage in collection efforts, potentially using third-party agencies. Overdue amounts may be deemed in default after specific timeframes (generally 120-365 days depending on the situation). Communications regarding collections may be via email or phone. You may be charged reasonable collection costs/fees.
6.5. Payment Processing Errors:
We will take steps to rectify payment processing errors we become aware of (e.g., incorrect debits/credits) via the original Payment/Payout Method or other means.
We may recover funds sent to you in error, including by reducing/setting off against future Payouts.
If you receive funds in error, you agree to return them promptly upon request.
6.6. Refunds:
Refunds or credits due to Members under the Terms or associated policies (e.g., Cancellation and Refund Policy, Major Disruptive Events Policy) will be initiated and remitted by Tranity Payments according to those policies.
We process refunds promptly, but the time to receive funds depends on the Payment Method and payment system rules. Refunds may be held temporarily (e.g., up to 72 hours in case of Partner cancellation) to facilitate re-reservation or confirm refund eligibility. Credit may be offered in lieu of cash where applicable and permitted.
7. DAMAGE REPORTS AND DAMAGE AMOUNTS
7.1. If you, as a Member, are determined to be responsible for damage to a Partner's Space/unit or property as per the process outlined in the main Terms ("Damage Report"), you authorize Tranity Payments to collect the corresponding amount ("Damage Amount") by charging the Payment Method(s) used for the reservation or others linked to your Account, up to the maximum specified in the Terms, after you have been notified and given an opportunity to respond as per the Terms.
7.2. Partners agree to cooperate in good faith in the Damage Report process outlined in the Terms.
7.3. Tranity Payments may seek recovery under any applicable insurance policies or pursue other legal remedies to recover Damage Amounts.
8. PARTNER PAYOUTS & TAXES (GST/TCS)
(Note: This section outlines the primary tax obligations related to using the Tranity Platform as a Partner in India. For more detailed explanations, examples, and procedural guidance, please refer to our separate GST & TCS Guidance for Tranity Partners.)
8.1. Payment Collection Agent: Tranity Payments acts as Partner's limited payment collection agent solely to manage the receipt of funds (Listing Fee + applicable GST) from third-party Payment Aggregators/Payment Gateways resulting from Member payments.
8.2. GST Registration Threshold: Partners are solely responsible for determining if their aggregate annual turnover from all sources requires mandatory registration for Goods and Services Tax (GST) under Indian law. Current thresholds (e.g., INR 20 lakhs/10 lakhs in special category states) are subject to change by the government. Partners must comply with all GST registration requirements applicable to them.
8.3. GST on Partner's Supply (Space Usage Fee):
(a) GST Rate: Tranity Payments collects applicable GST from Members on the Partner's supply of services (i.e., the Listing Fee). The standard rate (currently 18%, subject to change by law) will be applied unless a different rate is legally applicable based on the specific service classification, which the Partner is responsible for determining correctly.
(b) Unregistered Partners: If a Partner does not provide a valid GST Identification Number (GSTIN) to Tranity, they will be treated as unregistered. In this case, Tranity Payments will collect the applicable GST from the Member and remit it directly to the tax authorities as required by law for supplies made through an e-commerce operator.
(c) Registered Partners: If a Partner provides a valid GSTIN, Tranity Payments will collect the applicable GST from the Member, and this collected GST amount will be included in the Partner's Payout. The Registered Partner is then solely responsible for reporting this supply and remitting the collected GST to the tax authorities through their own GST returns.
8.4. Tax Collected at Source (TCS) for Registered Partners: As required by Section 52 of the Central Goods and Services Tax (CGST) Act, 2017, for Partners registered under GST who provide a valid GSTIN, Tranity Payments will collect Tax at Source (TCS) at the prescribed rate (currently 1% of the net value of taxable supplies, subject to change by law). This TCS amount will be deposited with the government against the Partner's GSTIN and will be deducted from the Partner's Payout.
8.5. GST on Tranity's Service Fee: Tranity charges Partners a service fee for the use of the Platform, the rate agreed upon by the Partner when creating and publishing the listing. Applicable GST (currently 18%, subject to change by law) is charged on this service fee. This GST amount (on Tranity's fee) is deducted from the Partner's Payout, and Tranity remits this GST to the authorities.
8.6. Payout Calculation Summary: The Partner's Payout is calculated based on the Listing Fee for the relevant period, adjusted for applicable GST on the Listing Fee (remitted to the Partner if registered, remitted by Tranity if unregistered), less Tranity's Service Fee and the GST applicable on that Service Fee, and less any applicable TCS (for registered Partners).
For Unregistered Partners: Payout ≈ (Listing Fee) - (Tranity Service Fee + GST on Service Fee). (GST on Listing Fee remitted directly by Tranity).
For Registered Partners: Payout ≈ (Listing Fee + GST on Listing Fee) - (Tranity Service Fee + GST on Service Fee) - (TCS). (Partner remits GST on Listing Fee).

8.7. Payout Method Information: To facilitate Payouts, Partners must provide accurate Payout Method details, including bank account information, Permanent Account Number (PAN), and GSTIN (if registered), as requested via the Platform. While Tranity may perform basic validation checks on provided identification numbers (like PAN or GSTIN) against government databases as part of its verification process, the Partner remains solely responsible for ensuring the ongoing accuracy of all provided information and fulfilling all their tax and regulatory compliance obligations.
8.8. Partner's Overall Tax Responsibility: Partners acknowledge and agree that they are solely responsible for:
Determining their own tax reporting requirements, including GST registration status based on their total turnover.
Obtaining and providing a valid GSTIN to Tranity if registered under GST.
Correctly classifying their services for GST purposes and determining the applicable GST rate.
Calculating, collecting (where applicable, i.e., if registered), and remitting all applicable Taxes (including GST on their supplies, income tax on their earnings, and any other relevant taxes) to the appropriate tax authorities.
Filing accurate and timely tax returns.
Maintaining proper books of accounts and records as required by law.
Tranity does not provide tax advice. Partners should consult with their own qualified tax professionals in India regarding their specific tax obligations. Our separate GST & TCS Guidance page provides informational assistance but does not substitute professional advice.
9. ABANDONED PROPERTY
If Tranity Payments holds funds due to you (e.g., Payouts we cannot deliver because of invalid Payout Method information and lack of response from you) for the period specified by applicable Indian unclaimed property laws (typically governed by the relevant state or central legislation), we may process these funds according to our legal obligations, including reporting and transferring (escheating) them to the appropriate government authority. You would then need to claim the funds from the authority.
10. PROHIBITED ACTIVITIES
In connection with Payment Services, you agree not to (and not to assist others to):
Breach laws, regulations, third-party agreements/rights, or our Terms/Policies (including Acceptable Use Policy).
Use Payment Services for unauthorized commercial purposes or any purpose not explicitly permitted by these Terms.
Use Payment/Payout Methods you are not authorized to use.
Circumvent security measures protecting Payment Services.
Damage or impair the performance/functioning of Payment Services.
Reverse engineer software used for Payment Services (except as law permits).
Violate or infringe others' rights or cause harm.
Engage in or facilitate money laundering or violate financial sanctions/export control laws applicable to you or Tranity Payments.
11. FORCE MAJEURE
Tranity Payments is not liable for delays or failures to perform obligations under these Payments Terms resulting from causes beyond our reasonable control (Acts of God, war, terrorism, riots, embargos, government acts, fire, floods, accidents, pandemics, epidemics, strikes, shortages, failures of public or private telecommunications networks, etc.) ("Force Majeure Event"). This does not override specific policies like the Major Disruptive Events Policy concerning reservation cancellations.
12. DISCLAIMERS
Your use of Payment Services is voluntary and at your sole risk.
To the maximum extent permitted by law, Payment Services are provided "as is" without warranty of any kind (express or implied).
Notwithstanding our role as limited payment collection agent for Partners, we disclaim liability for acts/omissions of Members, Partners, or other third parties, except as expressly stated herein or required by law.
Identity verification checks, if conducted, do not guarantee future conduct or identify all past misconduct.
These disclaimers apply to the maximum extent permitted by law. You may have statutory rights that cannot be excluded.
13. LIABILITY
To the maximum extent permitted by law, the entire risk arising from your access/use of Payment Services remains with you.
Neither Tranity Payments nor affiliates/personnel will be liable for incidental, special, exemplary, or consequential damages (lost profits, data loss, goodwill loss, service interruption, system failure, etc.) or for personal/bodily injury or emotional distress arising from these Payments Terms or use/inability to use Payment Services, or interactions resulting from use of Payment Services, even if advised of the possibility, except as specified below.
Our total aggregate liability arising from these Payments Terms and Payment Services is limited to:
THE AMOUNT OF SERVICE FEES PAID BY YOU (AS A MEMBER) TO TRANITY OR THE NET AMOUNT RECEIVED BY YOU (AS A PARTNER) FROM TRANITY (AFTER DEDUCTION OF SERVICE FEES) VIA THE PLATFORM DURING THE THREE (3) MONTH PERIOD PRIOR TO ANY CAUSE OF ACTION ARISING.
except for:
Our obligation to remit Payouts to Partners per these Terms.
Liability for death/personal injury caused by our negligence.
Liability for fraud or fraudulent misrepresentation.
Liability for willful misconduct or gross negligence.
Any liability which cannot be excluded/limited under applicable Indian law (e.g., breach of statutory consumer rights).
15. MODIFICATION, TERM, TERMINATION & OTHER MEASURES
15.1. Modification: We may modify these Payments Terms at any time. We will post revised terms and update the "Last Updated" date. For material changes, we will provide at least 30 days' notice (e.g., via email, platform notification). If you disagree, you may terminate this agreement before changes take effect. Continued use after the effective date constitutes acceptance.
15.2. Term: This agreement starts when you first use Payment Services (e.g., make/receive payment for a reservation) and continues until terminated by you or us.
15.3. Termination:
You may terminate anytime by emailing us or deleting your Tranity Account. Termination is effective upon closure of your account, subject to completion of ongoing transactions/reservations.
We may terminate for convenience with 30 days' notice via email to your registered address.
We may terminate immediately without notice for material breach of these Terms, providing inaccurate/fraudulent info, violating laws/third-party rights, or if necessary to protect others/Tranity/Tranity Payments.
15.4. Suspension/Other Measures: We may limit or temporarily suspend access to Payment Services to comply with law/court orders, if you breach terms/laws, provide inaccurate info, have overdue amounts, or if needed for safety/security or fraud prevention. Access may be suspended for payment failures (e.g., expired card, insufficient funds).
15.5. Appeal: You may appeal measures taken under 15.3/15.4 by contacting customer service (www.tranity.in/support).
15.6. Effect of Termination: If your account is terminated/suspended, confirmed reservations may be cancelled (Members refunded per Cancellation and Refund Policy, Partners receive no compensation for cancelled reservations). You cannot register a new account or use another Member's account.
15.7. Survival: Sections 5 through 17 survive termination.
16. GOVERNING LAW AND DISPUTE RESOLUTION
16.1. Governing Law: These Payments Terms are governed by and construed according to the laws of India.
16.2. Dispute Resolution: Any dispute, controversy, or claim arising out of or relating to these Payments Terms or the Payment Services shall be resolved according to the dispute resolution process outlined in Section 24 of the main Tranity Terms of Service, which includes informal negotiation followed by binding arbitration in India under the Arbitration and Conciliation Act, 1996.
17. MISCELLANEOUS
17.1. Interpretation: These Payments Terms, along with the main Terms and referenced policies (Privacy Policy, Cancellation/Refund Policy, etc.), constitute the entire agreement regarding Payment Services. Invalid/unenforceable provisions will be struck; remaining provisions remain valid.
17.2. No Waiver: Failure to enforce a right is not a waiver unless acknowledged in writing.
17.3. Assignment: You cannot assign this agreement without our prior written consent. We may assign it without restriction, provided it doesn't reduce your rights/benefits, by providing 30 days' notice.
17.4. Notices: Unless specified otherwise, communications will be provided electronically (email, platform notification, messaging).
